Terms of service

These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”, “Customer”) and Diagnovet Inc., doing business as diagnoVET (“diagnovet.ai”, “we”, “us”, or “our”), concerning your access to and use of our AI-powered veterinary diagnostic support platform (the “Service”).

By clicking “I agree,” creating an account, or using the service, you (a) agree to be bound by these terms; and (b) represent that you are a licensed veterinary professional or are authorized to bind your veterinary practice (“entity”) to these terms.

1. Definitions

  • “Customer Data”: All information, data, previous reports, images (including radiographs, ultrasounds, etc.), and clinical notes uploaded to the Service by you or your Authorized Users.
  • “Anonymized Data”: Customer Data that has been processed to permanently remove or obscure any information that could reasonably be used to identify the specific pet owner, referring professional or Customer.
  • “Aggregated Statistics”: Data derived from Customer’s use of the Service, combined with data from other customers, in an aggregated and anonymized form.
  • “Service Output”: The reports, analyses, annotations, or other information generated by the Service from the Customer Data.
  • “Platform”: The proprietary software, algorithms, AI models, and technology owned by Diagnovet.ai used to deliver the Service.

2. The Service & Professional Responsibility

2.1. Description of Service

Diagnovet.ai provides an information support tool that uses artificial intelligence to analyze Customer Data and generate Service Output to assist veterinary professionals.

2.2. Important: Professional Judgment Disclaimer

You acknowledge and agree that the Service and all Service Output are provided for informational and assistive purposes ONLY.

  1. The Service Output DOES NOT constitute a veterinary diagnosis, medical advice, or a professional opinion.
  2. The Service is NOT A SUBSTITUTE for the independent clinical judgment, experience, and evaluation of a licensed veterinary professional.
  3. You (the Customer) are solely responsible for all diagnostic, treatment, and patient care decisions. You are responsible for verifying the accuracy and applicability of all Service Output before making any clinical decision. Diagnovet.ai does not practice veterinary medicine.

3. Licenses and Intellectual Property

3.1. License to Use Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal professional veterinary purposes.

3.2. Restrictions

You shall not (and shall not permit any third party to):

  1. Reverse engineer, decompile, or otherwise attempt to discover the source code or underlying AI models of the Platform;
  2. Resell, lease, or sublicense the Service;
  3. Use the Service or Service Output to train, validate, or develop any competing artificial intelligence product or service;
  4. Remove any proprietary notices from the Service or Service Output.

3.3. Our Ownership

We own all right, title, and interest in and to the Platform, the Service, and all Aggregated Statistics.

3.4. Your Ownership of Customer Data

You retain all right, title, and interest in and to your original Customer Data.

3.5. Our License to Use Customer Data (The AI License)

To provide and improve the Service, you grant Diagnovet.ai two distinct licenses:

  1. License to Provide Service: You grant us a worldwide, royalty-free license to host, process, display, and transmit your Customer Data solely as necessary to provide the Service to you. This license terminates when you delete your Customer Data.
  2. License for AI Training and Improvement: You grant us a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to create Anonymized Data from your Customer Data and to use, reproduce, modify, and create derivative works from this Anonymized Data for the sole purposes of:
    1. Training, validating, and improving our AI models and the Platform;
    2. Generating Aggregated Statistics; and
    3. Conducting scientific and academic research (in a non-identifiable form).

4. Fees and Payment

You agree to pay all fees specified in your subscription plan or Order Form. All fees are non-refundable. Subscriptions will auto-renew unless canceled in accordance with the terms of your plan.

5. Disclaimer of Warranties

The service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service or service output will be accurate, complete, error-free, or uninterrupted.

6. Limitation of Liability

In no event will diagnoVET.ai or our directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages (including lost profit or claims of malpractice) arising from your use of, or reliance on, the service or service output, even if we have been advised of the possibility of such damages.

Our aggregate liability to you for any cause whatsoever... will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

7. Indemnification

You agree to defend, indemnify, and hold us harmless from any loss, damage, or claim (including reasonable attorneys’ fees) made by any third party arising out of: (a) your use of the Service; (b) your breach of these Terms; or (c) any diagnostic or treatment decision you make based on your use of the Service Output.

8. Term and Termination

We may suspend or terminate your account and access to the Service at any time for any material breach of these Terms. You may terminate your account at any time.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. All disputes shall be resolved by binding arbitration in San Francisco, California, and you waive any right to participate in a class action lawsuit.
